Please read these Terms and Conditions of Use (“Terms”) carefully between you and TIRISEN INTERNATIONAL TRADING CO., LIMITED (“Vacbird Findo”). Your use of the Products and Services indicates that you have read, accepted and agree to these Terms and constitutes your consent hereto.

These Terms govern your access and use of Vacbird Findo products and services provided in connection with the Vacbird Findo website, mobile application, software, firmware, documentation and other information and materials provided on or in connection with such services (individually and collectively, the “Products and Services”). Please review the following Terms carefully before accessing, utilizing, registering or creating an account for, or subscribing to the Products and Services. If you or your device accesses the Vacbird Findo website or mobile application (regardless of your payment or subscription status) you acknowledge and agree that you are a user of the Products and Services and are bound by the provisions of these Terms. If you do not agree to these Terms, please do not set up a user account, subscribe or otherwise access or utilize the Products and Services.

THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION AND CLASS ACTION/JURY TRIAL WAIVER PROVISION. THIS PROVISION REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS. PLEASE REVIEW THIS SECTION CAREFULLY.

By using the Products and Services, you understand and consent to Vacbird Findo’s collection, storage and use of your Account Data in accordance with Vacbird Findo’s Privacy Policy. We encourage you to review the Privacy Policy frequently. Each party shall comply with its respective obligations under applicable data protection laws (“DPL”). You will not perform any act that puts Vacbird Findo in breach of its obligations, and nothing herein shall be deemed to prevent any party from taking action it reasonably deems necessary to comply with DPL.

These Terms may be accepted by clicking the “I accept” button if such button or function is available via the user interface for the Products and Services. You also accept the Terms when you access or start to use the Products and Services. By using the Products and Services, you affirm that you are of legal age (18 years or older) to enter into these Terms. You may not use the Products and Services if you are: (a) under 18 years of age; or (b) barred from receiving the Products and Services under the laws of the United States or the state in which you reside. If you are an individual accessing or using the Products and Services on behalf of, or for the benefit of, any corporation, partnership or other entity (“Organization”), then you are agreeing to these Terms on behalf of yourself and such Organization, and you represent and warrant that you have the legal authority to bind such Organization to these Terms. References to “you” in these Terms will refer to both the individual using the Products and Services and any such Organization.

Vacbird Findo may at its discretion modify, update, add to, discontinue, remove or otherwise change these Terms at any time. Each such modification will take immediate effect upon publication to the website or mobile application and the “last updated” date will be updated. Vacbird Findo may provide you with notices, including those regarding changes to these Terms, by email, text message, postings or updates to the mobile application or other reasonable means. A notice may be shown when you enter the mobile application notifying you of Updated Terms for a reasonable period. Your continued use of the Products and Services following any such notifications constitutes your acceptance of such modifications. If you do not agree to any modification, your sole remedy is to discontinue use and/or cancel your subscription in accordance herewith. Any updated Terms will supersede previous versions.

Full use of the Products and Services requires that you create an account by providing information such as your full name, valid email address, and a strong password (“Account Data”). You are responsible for all activity that occurs in association with your account. You will keep your Account Data safe and secure and prevent unauthorized access by: (i) using strong non‑obvious IDs and passwords; (ii) changing passwords regularly; (iii) not disclosing passwords or granting access to third parties; and (iv) logging out at the end of each session. You must notify us promptly of any unauthorized use or security breach. Vacbird Findo is not liable for any loss or damages caused by your failure to maintain the confidentiality of account credentials. Please contact Vacbird Findo via the website if you discover or suspect any security breach. You agree that Vacbird Findo may store and use Account Data for account maintenance, billing, and as otherwise provided herein. Business accounts may be subject to additional authentication or security protocols at our discretion.

In order to use the Products and Services, you need: (i) a supported mobile phone, tablet or computer with Internet access; and (ii) Vacbird Findo QR code stickers purchased as detailed on our website. You are responsible for the maintenance and security of your electronic equipment and for any Internet or data charges incurred through use of the Products and Services. You are solely responsible for disputes with your internet or mobile provider related to such charges. Vacbird Findo is not responsible for the availability, functionality, or cost of any internet or data service.

You agree that Vacbird Findo may collect and use technical data and related information, including log entries, diagnostics, bandwidth usage, WiFi usage, performance information, analytics, and User Content. This data is gathered to facilitate provision of Products and Services and support. Vacbird Findo may use this information to improve the Products and Services or provide additional features but will not disclose your Account Data to third parties for their independent marketing purposes without your consent. You have the right to update your Account Data at any time by logging into your account. Certain features may not be available if you restrict collection, storage, or use of Account Data.

You must access and use our Products and Services only for legal, authorized purposes. You will not use or assist others in using our Products and Services in ways that: (i) violate or infringe the intellectual property or proprietary rights of Vacbird Findo; (ii) are unlawful, harmful, obscene, defamatory, threatening, abusive, harassing, hateful, racially or ethnically offensive, or harmful to minors; (iii) publish falsehoods or misrepresentations; (iv) impersonate any person or entity; or (v) send bulk messaging, auto‑messaging, auto‑dialing, or other impermissible communications.

You further agree not to: (a) remove any proprietary notices from the Products and Services; (b) reverse engineer, decompile, extract code, copy, adapt, modify, distribute, license, sell, resell, or otherwise exploit the Products and Services in an unauthorized manner; (c) transmit viruses or harmful code; (d) gain unauthorized access to our systems; (e) interfere with the integrity or performance of the Products and Services; (f) create accounts through unauthorized or automated means; (g) collect user information in an unauthorized manner; (h) sell, resell, rent, or charge for our Products and Services; or (i) allow third parties to use your account. Unauthorized use may result in civil or criminal prosecution. Please notify us via the website if you become aware of misuse.

Vacbird Findo may at any time and in its sole discretion without prior notice: (a) change, remove, or discontinue features or the Products and Services; (b) disable or suspend your account and access temporarily or permanently; (c) limit transmissions or storage space; and (d) pre‑screen, review, filter, modify, refuse, block, or remove User Content.

The mobile application will communicate with our servers regularly to check for Software Updates (bug fixes, patches, enhanced functions, new versions). Such updates are provided to improve performance, security, and reliability. By using the Products and Services, you agree to receive all software updates. If you disable automatic upgrades, certain functionality may be impaired. Vacbird Findo may still implement critical updates even if automatic upgrades are disabled.

You understand and agree that any liability, loss, or damage arising from your User Content is solely your responsibility. Vacbird Findo is not responsible for public display or misuse of User Content. We may view User Content as needed to operate, maintain, and upgrade the Products and Services. We reserve the right to monitor User Content and to restrict access or take appropriate action if you violate these Terms or engage in unlawful, offensive, abusive, or harmful conduct.

You agree that Vacbird Findo may display advertisements, promotions, or other content as part of the Products and Services. We may send marketing emails or newsletters or contact you by phone in accordance with applicable laws and our Privacy Policy.

You agree that you will pay for all Products and Services you purchase, and that Vacbird Findo may charge your designated credit card or payment account. Fees will be billed to the payment method you provide during registration. You must update your payment information if it changes, which may temporarily disrupt access during verification. You are responsible for timely payment of all fees. Vacbird Findo may suspend or terminate your service without notice if a charge is rejected or reversed. You agree we may charge interest on overdue amounts at a monthly rate of up to one and a half percent (1.5%) or the maximum rate allowed by law, whichever is lower. We may refer your account to a third party for collection in the event of default.

Some Products and Services require an ongoing subscription. You agree to pay subscription fees in advance. Your subscription period is stated in your selected plan. Subscription fees cover the Products and Services in your plan. You may change payment options as permitted by your plan. Reactivation of a terminated subscription may be subject to a reactivation fee. Promotional subscriptions may be subject to additional restrictions. Vacbird Findo may offer multiple subscription plans with varying levels of service.

SUBSCRIPTION WITH RECURRING PAYMENTS – IMPORTANT DISCLOSURES (FTC COMPLIANT)

If you select a subscription with recurring payments, you explicitly consent to automatic renewal. Your subscription will automatically renew at the start of each billing period, and we will charge your designated credit or debit card at the then‑current rate until you cancel. You must cancel before the renewal date to avoid being charged for the next period. You may cancel anytime through your account settings. Promotional rates will automatically convert to the regular non‑promotional rate at the end of the promotional term unless you cancel before renewal. Access will not be granted until your payment method is verified as valid and in good standing.

Prices for Products and Services may change at any time. We generally do not implement price changes (other than promotional expiration) until your next subscription renewal. If you disagree with a price change, you may terminate use and may be entitled to a pro‑rated refund of unused, pre‑paid fees. We will provide reasonable notice of price changes via the mobile application. Continued use after notice constitutes acceptance of the new pricing.

Vacbird Findo may engage third‑party affiliates or service providers to assist with the Products and Services. Please see our Privacy Policy for details about third‑party access to your information.

17. Termination

17.1 You may request termination of your account at any time through your account settings. Unused fees, including subscription fees, are generally non‑refundable upon voluntary termination. Upon termination, certain data such as logs, diagnostics, transaction details, or information subject to legal process may not be immediately deleted from our systems.

17.2 Vacbird Findo retains absolute discretion to disable, suspend, or terminate your service at any time (with or without notice) if: (i) you breach any provision of these Terms; (ii) you indicate an intent not to comply with these Terms; (iii) you use the service in a manner we deem offensive, abusive, harmful, or malicious; (iv) your payment is rejected; (v) you misuse the Products and Services; (vi) you alter the service or software to infringe intellectual property rights; (vii) we discontinue the service worldwide or in your jurisdiction; or (viii) required by law.

17.3 Upon termination, you remain obligated to pay all outstanding fees incurred before termination. You may receive a pro‑rated refund of unused, pre‑paid fees where applicable.

17.4 Termination may result in forfeiture of account information and User Content. You are solely responsible for backing up your User Content to an external location to avoid data loss.

18. Intellectual Property

Vacbird Findo retains all right, title, and interest in and to the Products and Services, including all intellectual property and proprietary rights. Except for the limited rights expressly granted herein, we reserve all rights. Vacbird Findo does not claim ownership of User Content. You represent that you own or have necessary rights to User Content you submit. You grant Vacbird Findo a worldwide, non‑exclusive, royalty‑free, sub‑licensable, and transferable license to use, reproduce, distribute, create derivative works of, and display User Content solely to operate, provide, and improve the Products and Services as described in these Terms and our Privacy Policy.

You may not use Vacbird Findo’s trade names, trademarks, service marks, logos, domain names, or other brand features without our prior written consent. You may not remove, alter, or obscure any proprietary notices, copyrights, or trademarks associated with the Products and Services.

19. Disclaimer of Warranties

THE PRODUCTS AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE IS AT YOUR OWN RISK. Vacbird Findo MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT. We do not warrant that the service will be uninterrupted, secure, error‑free, or compatible with your devices. We do not warrant that servers are free of viruses or harmful components. Some jurisdictions do not allow exclusion of implied warranties, so this exclusion may apply only to the extent permitted by law.

20. Limitation of Liability

IN NO EVENT SHALL Vacbird Findo, ITS AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, OR OTHERWISE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO Vacbird Findo IN THE 12 MONTHS PRIOR TO THE CLAIM OR $100, WHICHEVER IS GREATER. Some jurisdictions do not allow exclusion or limitation of certain damages, so these limitations may apply only to the extent permitted by law.

21. Indemnification

You agree to indemnify, defend, and hold harmless Vacbird Findo and its officers, directors, employees, affiliates, agents, and contractors from all third‑party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from: (i) your use of the Products and Services; (ii) your User Content; (iii) your breach of these Terms; or (iv) your violation of applicable law or third‑party rights. We reserve the right to assume control of defense of any indemnified claim, and you agree to cooperate with us as reasonably requested.

22. Governing Law and Arbitration

These Terms and your relationship with Vacbird Findo shall be governed by the laws of the State of California, without regard to its conflict of laws principles.

AGREEMENT TO ARBITRATE AND WAIVER OF CLASS ACTIONS

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

To the fullest extent permitted by law, any dispute arising out of or relating to these Terms shall be resolved by binding individual arbitration in San Francisco, California, administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted in English by a single arbitrator with substantial experience in intellectual property and commercial disputes. CLASS ACTIONS, CLASS ARBITRATIONS, AND JURY TRIALS ARE NOT PERMITTED. You and Vacbird Findo each waive the right to a jury trial or to participate in a class action. We both agree to first attempt to resolve any dispute through good‑faith informal negotiations for at least 30 days before initiating arbitration. Judgment on the arbitration award may be entered in any court having jurisdiction. This arbitration provision shall survive termination of these Terms.

The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

23. Miscellaneous

These Terms shall survive termination of your account, including disclaimers, indemnity, and limitation of liability. If any provision is found invalid or unenforceable, it shall be replaced by a valid provision that most closely matches the original intent, and the remainder shall continue in full force. These Terms constitute the entire agreement between you and Vacbird Findo with respect to the subject matter. Failure to enforce any right shall not constitute a waiver of such right.
